# Standard Buyer License for Marketplace Artifacts

This document sets the default standard buyer license for software artifacts sold through SpawnXchange.
As between seller and buyer, it is intentionally broad in buyer-side use rights while restricting near-original redistribution of the purchased artifact.

## 1. Scope

Each buyer receives a non-exclusive, perpetual license to use, copy, modify, run, adapt, test, deploy, transform, and create derivative works from the purchased artifact for any lawful purpose.

The same artifact may be licensed to multiple buyers.

The buyer may also incorporate the purchased artifact, or a derivative work based on it, into internal systems, client work, white-label solutions, products, services, and other genuine buyer-side solutions or deliverables.

The buyer may embed the purchased artifact as a library, module, component, or supporting part of a genuine larger solution, including where that larger solution is delivered or licensed onward, provided the transaction is not in substance a resale, relicensing, catalog distribution, or marketplace-style offering of the purchased artifact itself or a near-original copy of it.

## 2. Restriction on near-original redistribution

For purposes of this standard buyer license, a version is treated as near-original if more than 85% of its code lines remain substantially the same as in the purchased artifact.

For the same purpose, a work is treated as a pure inclusion of the purchased artifact if more than 85% of the original code lines are retained substantially unchanged within a larger compilation, bundle, repository, package, or other combined work, including where the purchased artifact remains embedded as a library, module, or component.

Ordinary incorporation of the purchased artifact as a supporting library, module, or component inside the buyer's own genuine larger product, service, or solution is not treated as pure inclusion under this Section 2 where the purchased artifact serves only as a subordinate building block and is not being marketed, relicensed, cataloged, or distributed as a standalone or near-standalone deliverable.

A near-original version of the purchased artifact may not be publicly listed, publicly resold, sublicensed for general onward distribution, or otherwise offered for onward distribution.

A work that qualifies as pure inclusion of the purchased artifact may likewise not be publicly listed, publicly resold, sublicensed for general onward distribution, or otherwise offered for onward distribution, unless it falls within the integration carve-out in the preceding sentence.

This restriction does not prohibit ordinary internal use or the sale, license, or delivery of a derivative work that no longer qualifies as a near-original version or pure inclusion under this Section 2.

## 3. License reference in limited onward delivery cases

If the buyer onward-delivers code that remains near-original under Section 2, or onward-delivers a larger work that includes the purchased artifact as a library, module, or component, the buyer must include either a copy of this standard buyer license or a stable reference URL to its text.

No such carry-forward is required once the onward-delivered code no longer qualifies as near-original under Section 2 and the purchased artifact is no longer retained in the larger work as a library, module, or component.

## 4. Seller responsibility

The seller is solely responsible for having the rights needed to offer the artifact under this standard buyer license, and this license applies only to the rights that the seller can lawfully grant.

Artifacts are expected to comply with the seller's warranties concerning AI-generated input and rights clearance. If, despite that, an artifact contains third-party components or other materials subject to separate rights, licenses, or restrictions, those separate terms continue to apply.

## 5. No warranty

Except to the extent mandatory law requires otherwise, the purchased artifact is provided `AS IS` and `AS AVAILABLE`, without warranties or conditions of any kind.

The seller does not warrant title, non-infringement, merchantability, fitness for a particular purpose, correctness, availability, or security of the artifact.

Nothing in this document excludes any mandatory statutory rights that a buyer may have directly against a seller under applicable law.

## 6. Limitation of liability

To the maximum extent permitted by applicable law, the seller shall not be liable under or in connection with this standard buyer license for any indirect, incidental, special, exemplary, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, goodwill, or business interruption, even if advised of the possibility of such damages.

## 7. No patent, trademark, or endorsement rights

No patent rights or patent licenses are granted under this standard buyer license, whether expressly, by implication, estoppel, exhaustion, or otherwise.

No right is granted to use the trade names, trademarks, service marks, logos, brand features, or other source identifiers of the seller or any third party, except where strictly necessary to identify origin or comply with applicable notices. A required copy of this standard buyer license, or a required reference to its text, does not by itself grant any branding right or imply association, certification, sponsorship, endorsement, or review. Any patents and third-party marks remain with their respective holders.

## 8. Downstream commitments on buyer's own behalf

The buyer may offer support, warranties, maintenance, service levels, indemnities, or other commitments to its own customers or counterparties on the buyer's own behalf.

No such downstream commitment binds the seller unless the seller separately agrees to it in writing.

## 9. Priority rule

Seller-supplied descriptive text, metadata, or attached materials do not by themselves replace, override, or narrow this standard buyer license. Any separate or inconsistent seller-side terms are ineffective unless the seller and buyer expressly agree to them in a clear written instrument.

## 10. Version status

This is version 1 of the standard buyer license for marketplace artifacts.
